1. Acceptance of Terms

Welcome to SceneScout! These Terms and Conditions ("Terms") govern your use of the SceneScout website (the "Site") and the services provided by SceneScout ("Services"). By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Site or Services.

SceneScout, operated by Alistair Finch Location Services Inc., is a location scouting agency based in Vancouver, British Columbia, Canada. Our mission is to connect filmmakers, photographers, and other creatives with unique and suitable locations for their projects. These Terms apply to all users of the Site and Services, including, but not limited to, visitors, registered users, and clients.

Your use of the Site and Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully to understand how we collect, use, and disclose your personal information. You can find our Privacy Policy at Privacy Policy.

2. Use of the Site

You agree to use the Site and Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Site. Prohibited behavior includes, but is not limited to, harassment, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Site.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. SceneScout reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in its sole discretion.

The Site may contain links to third-party websites or resources. You acknowledge and agree that SceneScout is not responsible or liable for the availability or accuracy of such websites or resources, or the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by SceneScout.

  • You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or Services without express written permission from SceneScout.
  • You agree not to use any data mining, robots, or similar data gathering and extraction tools on the Site.
  • You agree not to attempt to gain unauthorized access to any portion of the Site or Services, or any other systems or networks connected to the Site.

3. User Content

Users may have the opportunity to submit, post, or display content, such as reviews, comments, or photographs ("User Content") on the Site. You retain all rights in, and are solely responsible for, the User Content you post to SceneScout. By posting User Content, you grant SceneScout a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content throughout the world in any media.

You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize SceneScout to use all User Content you submit. You agree that your User Content will not violate any right of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary right. You further agree that your User Content will not contain libelous or otherwise unlawful, abusive, or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Site or Services.

SceneScout reserves the right, but has no obligation, to monitor, edit, or remove User Content that we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party's intellectual property or these Terms.

4. Intellectual Property

The Site and its original content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Alistair Finch Location Services Inc. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

  • Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
  • You may store files that are automatically cached by your Web browser for display enhancement purposes.
  • You may print or download one copy of a reasonable number of pages of the Site for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

The SceneScout name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Alistair Finch Location Services Inc. You must not use such marks without the prior written permission of SceneScout.

5. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SCENESCOUT DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SCENESCOUT DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SITE OR SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU (AND NOT SCENESCOUT) ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

SCENESCOUT SPECIFICALLY DISCLAIMS ANY LIABILITY FOR ANY USER CONTENT POSTED ON THE SITE OR SERVICES. SCENESCOUT IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SITE OR SERVICES.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SCENESCOUT, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE OR SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (C) ANY CONTENT OBTAINED FROM THE SITE OR SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT SCENESCOUT HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL SCENESCOUT'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR SERVICES EXCEED THE AMOUNT YOU PAID, IF ANY, TO SCENESCOUT FOR ACCESS TO OR USE OF THE SITE OR SERVICES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia, for the resolution of any disputes arising out of or relating to these Terms or your use of the Site or Services.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the federal courts of Canada or the courts of the Province of British Columbia in each case located in the City of Vancouver, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

8. Changes to These Terms

SceneScout reserves the right to modify or revise these Terms at any time, and such changes will be effective immediately upon posting on the Site. Your continued use of the Site or Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes. If you do not agree to any change to these Terms, you must discontinue using the Site and Services.

We will attempt to notify you of significant changes to these Terms by posting a notice on our Site or by sending you an email. However, your continued use of the Site after any changes to these Terms have been posted constitutes your acceptance of those changes, regardless of whether you received actual notice of the changes.
